These Terms govern access to and use of nordexaresearch.com (the “Site”) and purchases from Nordexa Research (“Nordexa Research,” “we,” “us,” or “our”). By accessing the Site, creating an account, or placing an order, you agree to these Terms and our Privacy Policy.

Important: Products offered through Nordexa Research are supplied strictly for laboratory research purposes. They are not intended for human consumption, personal use, medical use, therapeutic use, diagnostic use, veterinary use, or self-administration.

1) Eligibility and Research-Only Products

  • Age requirement. You must be at least 21 years old to access restricted product information or place an order.
  • Research purposes only. Products offered through the Site are supplied strictly for laboratory research and analytical purposes. They are not intended for human consumption, personal use, therapeutic use, diagnostic use, veterinary use, or self-administration.
  • Purchaser responsibility. By placing an order, you represent that you are purchasing for a lawful laboratory research or analytical purpose and that you have the knowledge, facilities, procedures, permissions, and authority appropriate to your activities.
  • No independent credential verification. Unless Nordexa Research has separately completed and documented a verification process, our acceptance of an order does not represent confirmation that a purchaser holds any particular licence, credential, institutional affiliation, or professional qualification.
  • No human-use guidance. We do not provide medical advice, veterinary advice, dosing information, reconstitution instructions, mixing instructions, injection guidance, administration guidance, personal-use protocols, or treatment recommendations.
  • Canada only. We currently accept and ship orders only within Canada.

2) Accounts and Site Use

  • Accurate information. You must provide accurate, complete, and current account, billing, shipping, and contact information.
  • Account security. You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.
  • Unauthorized activity. Contact us promptly if you believe that your account or payment information has been used without authorization.
  • Site restrictions. You may not interfere with the Site, attempt unauthorized access, introduce malicious code, scrape restricted information, misuse promotional offers, or use the Site for fraudulent or unlawful activity.

3) Orders, Pricing and Acceptance

  • Currency. All prices are displayed in Canadian dollars unless expressly stated otherwise. Applicable taxes and shipping charges are shown during checkout.
  • Product availability. Products, formats, prices, promotions, and stock availability may change without prior notice.
  • Order acknowledgment. An automated order-confirmation or payment-instruction email confirms that we received your order. It does not necessarily mean that the order has been accepted for fulfillment.
  • Order acceptance. An order is accepted when it has been reviewed, payment has been accepted or confirmed where required, and we issue shipment confirmation or otherwise begin fulfillment.
  • Order review. We may place an order on hold, request additional verification, limit quantities, refuse an order, or cancel an order where reasonably necessary because of suspected fraud, payment concerns, inventory limitations, regulatory concerns, policy violations, pricing errors, or other operational risks.
  • Errors and omissions. We may correct typographical, pricing, stock, description, or availability errors. If an error affects an order, we may contact you with available options or cancel and refund the affected amount.
  • Order records. Order confirmations and related communications are delivered electronically and may be retained or printed for your records.

4) Payment

  • Available methods. We accept the payment methods displayed at checkout. Available methods may change and may include Interac e-Transfer and third-party payment processors.
  • Interac e-Transfer deadline. Orders placed using Interac e-Transfer must be paid within 24 hours unless different written instructions are provided with the order. Unpaid orders may be cancelled and inventory released.
  • Payment matching. Customers are responsible for following the payment instructions provided and including any required order-identification information.
  • Third-party processors. Card and other electronic payments may be processed by independent payment providers under their own terms and privacy practices.
  • Card information. Nordexa Research does not directly store full payment-card numbers submitted through a third-party payment processor.
  • Payment disputes. Contact us promptly if you do not recognize a charge or believe that an order or payment has been processed incorrectly. Fraudulent or abusive payment disputes may result in account restrictions or refusal of future orders.

5) Shipping and Delivery

  • Shipping origin. Orders are shipped from Ontario, Canada.
  • Processing and delivery estimates. Current shipping methods, processing information, estimated delivery times, and related conditions are described in our Shipping & Returns Policy.
  • Delivery estimates. Processing and delivery dates are estimates unless we expressly confirm otherwise. Carrier delays, weather, service interruptions, remote destinations, address issues, and other circumstances may affect delivery.
  • Address accuracy. You are responsible for providing a complete and accurate delivery address. Contact us immediately if an address correction is required. Changes may not be possible after processing or shipment.
  • Tracking and delivery. Carrier tracking, delivery scans, signatures, photographs, and investigation results may be used when reviewing a reported delivery issue.
  • Carrier possession. Once a shipment has been accepted by the carrier, delivery is performed by that carrier. Nordexa Research will provide reasonable assistance with eligible loss or damage investigations, subject to carrier procedures and our Shipping & Returns Policy.
  • Statutory rights. Nothing in these Terms limits any delivery, cancellation, refund, or other right that cannot legally be excluded.

6) Cancellations, Returns and Reshipments

  • Cancellation requests. Contact support immediately to request a cancellation or order change. We cannot guarantee that a request can be completed once processing or shipment has begun.
  • Shipped orders. Orders that have already shipped cannot ordinarily be cancelled or modified.
  • Change of mind. Due to the nature of laboratory research materials, we do not ordinarily accept returns or exchanges for change of mind, incorrect selection, or products no longer wanted.
  • Damaged shipments. Visible shipping damage should be reported within 48 hours of delivery or the first delivery scan. Include the order number and clear photographs of the outer packaging, shipping label, internal packaging, and affected contents.
  • Order discrepancies. Missing, incorrect, or visibly damaged contents should be reported promptly and before products or packaging are discarded.
  • Returned parcels. When a parcel is returned because it was refused, unclaimed, or addressed incorrectly using information supplied by the customer, a reshipment of the original eligible contents may be requested for a flat $25 CAD processing and replacement-label fee.
  • Exceptions required by law. These policies do not remove any cancellation, refund, warranty, or other right that applies and cannot legally be waived.

7) Compliance and Prohibited Uses

  • Customer compliance. You are responsible for determining and following all federal, provincial, municipal, institutional, occupational, transport, storage, handling, disposal, and other requirements applicable to your purchase and activities.
  • No consumer resale. Products may not be repackaged, relabelled, advertised, distributed, or resold for human consumption, personal use, medical use, therapeutic use, diagnostic use, veterinary use, or self-administration.
  • No prohibited diversion. Products may not be diverted from their stated laboratory-research purpose or supplied to another person for a prohibited purpose.
  • No unlawful activity. You may not purchase, possess, transport, store, transfer, use, or dispose of products in violation of applicable requirements.
  • Order restrictions. We may refuse future service or restrict an account where we reasonably believe these Terms, our policies, payment requirements, or applicable legal requirements have been violated.

8) Product Information and Documentation

  • Product information. Product descriptions, images, specifications, batch identifiers, and availability are provided for general ordering and laboratory-reference purposes.
  • Laboratory reports. Certificates of Analysis and other laboratory reports apply to the samples, batches, methods, and results identified in those documents.
  • No regulatory authorization. A product label, batch identifier, Certificate of Analysis, or laboratory report should not be interpreted as regulatory approval, product authorization, clinical evidence, or proof of suitability for human or veterinary use.
  • No guaranteed application. Customers are responsible for determining whether a product and its available documentation are appropriate for their intended lawful laboratory application.

9) Warranties and Disclaimers

  • Site availability. The Site and its content are provided on an “as available” basis. We do not guarantee uninterrupted, error-free, or continuously available access.
  • Product limitations. To the extent permitted by law, products are provided without warranties concerning outcomes, experimental results, or suitability for a particular application beyond any express written commitment provided by Nordexa Research.
  • No outcome guarantees. We do not guarantee research outcomes, results, performance, or compatibility with any specific experimental method or application.
  • Information only. Website content, product information, correspondence, and documentation are provided for general informational and laboratory-reference purposes and do not constitute medical, veterinary, legal, regulatory, or professional advice.
  • Non-waivable rights. Nothing in these Terms excludes a warranty, condition, representation, remedy, or other right that cannot legally be excluded or limited.

10) Limitation of Liability

To the maximum extent permitted by applicable law, Nordexa Research and its owners, affiliates, personnel, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Site, an order, a product, a carrier delay, or these Terms.

To the maximum extent permitted by law, our aggregate liability arising from an affected order or product will not exceed the amount actually paid to Nordexa Research for that order or product.

These limitations do not apply where liability cannot legally be excluded or limited.

11) Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Nordexa Research and its owners, affiliates, personnel, contractors, and service providers from third-party claims, losses, liabilities, damages, and reasonable costs arising from your unlawful conduct, prohibited use, misuse, diversion, resale, relabelling, policy violation, or material breach of these Terms.

12) Intellectual Property

The Site and its original text, graphics, branding, logos, page designs, photographs, documentation, and other content are owned by or licensed to Nordexa Research and are protected by applicable intellectual-property laws.

You may use the Site for personal access and legitimate purchasing or research-reference purposes. You may not copy, republish, commercially exploit, impersonate, or misrepresent Nordexa Research content or branding without written permission.

13) Third-Party Services and Links

The Site may use or link to independent payment processors, shipping carriers, analytics services, laboratory websites, scientific databases, and other third-party services. Nordexa Research does not control those third parties and is not responsible for their independent content, availability, policies, security, or performance.

14) Force Majeure

Nordexa Research is not responsible for delays or failures caused by events beyond our reasonable control, including severe weather, fire, flood, labour disruption, carrier interruption, utility or telecommunications failure, cyber incident, governmental action, supply interruption, public emergency, or other comparable event.

15) Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Subject to any right or forum that cannot legally be restricted, disputes relating to these Terms, the Site, or an order will be brought before a court of competent jurisdiction in Ontario, Canada.

16) Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect.

A failure or delay in enforcing any provision does not waive our right to enforce it later.

17) Entire Agreement

These Terms, together with the policies and information expressly incorporated by reference, form the agreement between you and Nordexa Research concerning use of the Site and purchases made through it.

If a product page, checkout notice, written order communication, or another applicable policy contains a more specific term concerning a particular transaction, that specific term will apply to that issue to the extent it does not conflict with a right that cannot legally be waived.

18) Changes to These Terms

We may update these Terms when our operations, policies, services, or legal obligations change. The revised version will be posted on this page with an updated effective date.

Changes apply prospectively from the stated effective date unless a different application is required by law. Your continued use of the Site after an update constitutes acceptance of the revised Terms.
